Brightline Interactive Stock Begins Trading on Nasdaq under BTLN
Brightline Interactive announced that its common stock has begun trading on the Nasdaq Capital Market under its new ticker symbol, "BTLN," completing the Company's corporate rebrand to Brightline Interactive.The new identity reflects the Company's transformation from a portfolio of businesses into a focused technology company centered on Brightline and SpatialCore, its interoperability and operational context platform for Physical AI. SpatialCore is designed to connect autonomous systems, sensors, AI platforms, digital environments and real-world data through a shared operational context.
Glimpse Group Rebrands to Brightline Interactive, Nasdaq Ticker Changes to BTLN
The Glimpse Group announced that tomorrow it will complete its corporate rebrand to Brightline Interactive and the transition of its Nasdaq ticker symbol from GGRP to BTLN. The change reflects the Company's transformation from a portfolio of businesses into a focused technology company centered on Brightline and SpatialCore, its interoperability infrastructure platform for Physical AI. Since the Company's new leadership and Board of Directors assumed responsibility on June 1, Brightline has focused on a series of initiatives intended to simplify the business, accelerate growth and strengthen its position in the emerging Physical AI market. These efforts have included the divestiture of non-core and underperforming subsidiaries, advancement of government and commercial revenue opportunities, development of strategic technology partnerships, and increased engagement with existing and prospective investors. "BTLN represents the company we are building, a category defining leader in Physical AI" said Tyler Gates, CEO. "Our focus has been straightforward: simplify the business, advance revenue, build partnerships, and position SpatialCore to scale. Glimpse Group Sells Glimpse Learning Asset
The Glimpse Group announced the sale of Glimpse Learning, a non-core legacy asset, continuing the Company's transformation into a pureplay Physical AI infrastructure company anchored by its subsidiary, Brightline Interactive, and its SpatialCore platform. The divestment is the latest step in a strategic shift Glimpse began earlier this year, when it named Tyler Gates as CEO, seated a new board chaired by Ret. Admiral Scott Swift and received a $1.85M capital infusion. Glimpse is directing its resources and management's attention toward Brightline and SpatialCore, the open standards-based interoperability and operational-context platform that gives technologies like drones, robotics, autonomous vehicles, digital twins and AI models a shared, real-time understanding of the physical world.
The Glimpse Group Announces New Executive Leadership and Board Restructuring
The Glimpse Group announced new executive leadership, a reconstituted board of directors, and a broader public introduction of SpatialCore. The Glimpse Group board is chaired by Admiral Scott Swift. The board also includes Major General Pete Fesler; Tamar Elkeles, PhD; Brian Archer; and Tyler Gates. Additionally, the company said, "Physical AI - autonomous systems that perceive, decide, and act in real-world environments - is moving rapidly from research to operational deployment across defense, logistics, manufacturing, robotics, and critical infrastructure. We believe the core constraint on that expansion is not AI capability. It is interoperability. Without a shared operational context layer, each new platform added to a program tends to add fragmentation rather than capability."
Glimpse Group Prices Registered Direct Offering at $1.845M
The Glimpse Group announced the pricing of a registered direct offering of $1.845M to support its strategic shift into a physical AI focused company. Offering Terms: 622,306 shares of its common stock, pre-funded warrants to purchase up to 2,732,240 shares of its common stock, and accompanying warrants to purchase up to 4,193,182 shares of common stock. The combined public offering price of each share of common stock and accompanying warrant to purchase common stock is $0.55. For investors who elect to purchase pre-funded warrants in lieu of common stock, the combined public offering price for each pre-funded warrant and accompanying warrant to purchase common stock is $0.549, which equals the combined price at which shares of common stock and accompanying warrants to purchase common stock are being sold in the offering, minus $0.001, the per share exercise price of each pre-funded warrant. All of the securities being sold in the offering are being sold by Glimpse directly to the investors in the offering, without any placement agent or underwriter. The offering is expected to close on or about May 18, subject to the satisfaction of customary closing conditions. The gross proceeds to Glimpse from the offering, before estimated offering expenses, are expected to be approximately $1.79M. If all of the pre-funded warrants and warrants to purchase common stock sold in the offering were to be exercised in cash at their respective exercise prices, Glimpse would receive additional gross proceeds of approximately $2.3M, before deducting expenses. Glimpse has not retained a placement agent or underwriter in connection with the offering.
